§ 1 Scope and Provider

(1) These General Terms and Conditions (hereinafter "GTC") apply to all orders you place via our online shop Valve Cartel at valve-cartel.com.

(2) The provider and your contractual partner is:

(3) A consumer within the meaning of these GTC is any natural person who concludes a legal transaction for purposes that are predominantly neither commercial nor self-employed professional activity (§ 13 BGB). An entrepreneur is a natural or legal person or a partnership with legal capacity who, when concluding the contract, acts in the exercise of their commercial or self-employed professional activity (§ 14 BGB).

(4) These GTC apply exclusively. Deviating, conflicting, or supplementary terms of the customer will only become part of the contract if and to the extent that we have expressly agreed to their validity in writing.

§ 2 Conclusion of Contract

(1) The presentation of products in the online shop does not constitute a legally binding offer, but rather a non-binding invitation to place an order.

(2) By clicking the "Order with obligation to pay" button (or an equivalent label) at the checkout, you submit a binding offer to purchase the goods contained in your shopping cart.

(3) After receiving your order, we will send you an automatic confirmation of receipt via email. This confirmation of receipt does not yet constitute acceptance of your offer, but merely documents that your order has been received by us.

(4) The purchase contract is concluded as soon as we accept your order by a separate order confirmation, or at the latest upon delivery of the goods. For payment in advance, the contract is concluded with our request for payment.

(5) Order processing and contact are carried out via email and automated order processing. The contract language is German.

§ 3 Right of Withdrawal

(1) Consumers have a statutory right of withdrawal. Details can be found in our Right of withdrawal, which also contains the model withdrawal form.

(2) The right of withdrawal does not apply or may expire prematurely for contracts for the delivery of goods that are custom-made according to customer specifications or clearly tailored to personal needs (§ 312g para. 2 no. 1 BGB), as well as for sealed goods that are not suitable for return for reasons of health protection or hygiene if their seal has been removed after delivery.

§ 4 Prices and Shipping Costs

(1) All stated prices are final prices. According to § 19 para. 1 UStG (small business regulation), no sales tax is charged and therefore not shown. Prices are exclusive of applicable shipping costs.

(2) For the amount of shipping costs and any delivery restrictions, please refer to our Shipping & Payment page. Shipping costs will also be shown separately during the ordering process before you submit your order.

§ 5 Payment Terms

(1) The available payment methods will be displayed in the online shop during the ordering process. You can only choose the payment methods offered there.

(2) The purchase price is due for payment upon conclusion of the contract, unless otherwise specified by the chosen payment method.

(3) In case of default of payment, we are entitled to demand default interest at the statutory rate. The assertion of further damages remains reserved.

§ 6 Delivery and Delivery Time

(1) Delivery will be made to the delivery address you provided. The delivery area can be found in the ordering process.

(2) Individual control units are vehicle-specific and sometimes only procured from the supplier after receipt of the order. The delivery times stated in the shop or in the ordering process are therefore estimated delivery times. If no or different delivery times are specified for an item, we will inform you within the order confirmation.

(3) If an ordered item is not available, we will inform you immediately. Any payments already made will be refunded promptly in this case.

(4) For consumers, the risk of accidental loss and accidental deterioration of the goods passes to the customer upon delivery. For entrepreneurs, the risk already passes upon handover to the transport company.

§ 7 Retention of Title

The delivered goods remain our property until full payment of the purchase price.

§ 8 Intended Use: Racing, Show Purposes, Export

(1) The exhaust valve controllers and associated control units offered by us are intended for racing vehicles. They are not approved for road use (StVO) and are exclusively intended for use in racing, for show purposes, or for export.

(2) The products do not have EC type approval and no ECE approval. Installation or use within the scope of the German Road Traffic Licensing Regulations can lead to the vehicle's operating permit expiring (§ 19 para. 2 StVZO), loss of insurance coverage, and regulatory or fine-related consequences.

(3) By placing an order, the customer confirms that they are aware of these circumstances and that they acquire and use the products exclusively for the purposes stated in paragraph 1. Installation and use are at the customer's own responsibility and risk.

(4) The customer is solely responsible for complying with the legal regulations applicable at their respective place of use. In the case of export outside the Federal Republic of Germany, they are also responsible for complying with the import and registration regulations there. There is no claim against us due to lack of roadworthiness or due to non-intended use.

§ 9 Warranty / Liability for Defects

(1) The statutory provisions on liability for defects apply.

(2) The warranty exclusively refers to the condition and function of the goods within the scope of their intended use according to § 8. No warranty is expressly given for the legality of use on public roads or for roadworthiness; the lack of road approval does not constitute a material defect.

(3) Defects due to improper assembly, improper handling, overloading, or use contrary to § 8 are excluded from liability for defects.

(4) If the customer is an entrepreneur, the limitation period for claims due to material defects for newly manufactured goods is one year from the transfer of risk; the statutory limitation periods for the right of recourse according to § 445b BGB remain unaffected.

§ 10 Liability

(1) We are liable without limitation for damages resulting from injury to life, body, or health based on a negligent or intentional breach of duty, as well as for other damages based on an intentional or grossly negligent breach of duty.

(2) For the slightly negligent breach of essential contractual obligations (cardinal obligations), our liability is limited to the foreseeable damage typical for the contract. Essential contractual obligations are those whose fulfillment makes the proper execution of the contract possible in the first place and on whose compliance the customer can regularly rely.

(3) Otherwise, liability, regardless of the legal reason, is excluded.

(4) Liability under the Product Liability Act remains unaffected.

(5) Any liability for damages caused by improper installation, improper use, or use of the products contrary to § 8 (in particular on public roads) is expressly excluded.

§ 11 Dispute Resolution

We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

§ 12 Final Provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If the customer is a consumer with habitual residence in another country, the mandatory consumer protection regulations of that country remain unaffected.

(2) If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is the seller's registered office.

(3) Should individual provisions of these GTC be or become wholly or partially invalid, the validity of the remaining provisions remains unaffected.
